MD Medical Group acquires largest outpatient network in Novosibirsk - News — Group of companies "Mother and child"

MD Medical Group IPJSC (“MD Medical Group”, “MDMG”, the "Group" or the "Company"; MOEX: MDMG), a leading Russian private healthcare provider, announces the acquisition of a 100% stake in CSM Zdravitsa LLC ("Zdravitsa"), the leading outpatient network in Novosibirsk.

The transaction covers six outpatient centres, all housed in leased facilities with a total area of 4,200 sq m. The clinics can handle 525,000 outpatient appointments per year.

The total headcount across the clinics is 462 employees, including 235 doctors. In 2025, the clinics generated a combined revenue of RUB 1 billion. The transaction perimeter does not involve any bank financing.

The fixed transaction amount is RUB 900 million, to be paid with the Company’s own cash resources. The transaction terms also include additional payments for exceeding performance targets in the year following its closing.

Strategic rationale

Zdravitsa is a Novosibirsk-based network of family medicine centres offering multi-speciality care for adults and children. With over 20 years of experience in commercial healthcare, the network features in the Vademecum ranking of Russia’s largest private clinics.

In Novosibirsk, MD Medical Group already has a presence through the Avicenna clinical hospital – home to the region's leading private perinatal centre – as well as a multifunctional clinic, a reproductive medicine centre, the Expert hospital, and two Expert clinics.

This acquisition of Novosibirsk’s leading outpatient clinic network will serve as an additional growth driver for the Group’s local inpatient cluster by increasing utilisation of its two local hospitals – Avicenna and Expert. It will also make the Company the undisputed private healthcare leader in the region and enable further investment in Zdravitsa's medicine centres, including flagship lines like paediatrics and women's healthcare.

The Zdravitsa network will retain its brand and operational processes. MD Medical Group will begin consolidating the acquired assets in its financial statements from June 2026.
