MD Medical Group announces results of the AGM

MD Medical Group IPJSC ("MD Medical", "Group" or the "Company"; MOEX: MDMG), a leading Russian private healthcare provider, announces results of the Annual General Meeting of Shareholders (AGM).

The AGM representing 57,201,185 shares with a quorum of 78.7678% of the total issued share capital took place on 25 June 2026. The following resolutions were adopted by a majority vote at the AGM:

1.        to approve the Company's annual report and annual financial (accounting) statements for 2025.

2.        to approve the distribution of part of the Company's net profit for the 2025 financial year in the amount of RUB 3,530,875,470 (Three billion five hundred thirty million eight hundred seventy-five thousand four hundred seventy Russian roubles) for the payment of dividends to shareholders. To approve the payment of dividends to holders of the Company’s ordinary shares for the 2025 financial year at RUB 47 (fourty-seven Russian roubles) per ordinary share, to be paid in cash. The record date is 14 July 2026.

3.        to set the size of the Board of Directors at six (6) members and to elect the following individuals to the Board of Directors:

• Sergey Kalugin

• Yury Kudimov

• Mark Kurtser

• Tatiana Lukina

• Vladimir Mekler

• Vitaly Ustimenko.

4.        to approve remuneration for members of the Board of Directors, with total remuneration amount not exceeding RUB 9,500,000 (nine million five hundred thousand Russian roubles).

5.        to approve Kept Joint-Stock Company as the Company's auditor for 2026.
